TERMS OF SERVICE

1. AGREEMENT TO TERMS

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client"), and Deniz Berke Türkmen ("Provider", "we", "us"). By engaging our services, you agree to be bound by these Terms.

2. SERVICES AND ENGAGEMENT

We provide digital architecture, software development, and consultancy services. The specific scope, timeline, and deliverables for each project will be defined in a separate proposal or statement of work.

3. EXECUTION OF SERVICES

3.1 Direct and Collaborate Performance: The Provider serves as the primary architect and point of responsibility for all projects. To ensure the highest quality of specialized delivery, the Provider reserves the right to delegate specific components of the work to qualified independent contractors, specialists, or third-party collaborators within our trusted network.

3.2 Responsibility: Regardless of delegation, the Provider remains solely responsible and liable to the Client for the performance of the services and the quality of the final deliverables, in accordance with the project agreement.

4. INTELLECTUAL PROPERTY

4.1 Client Ownership: Upon full payment of all fees, the Client is granted exclusive ownership of the final deliverables (e.g., specific code produced for the project, design assets).

4.2 Provider Rights: The Provider retains ownership of all background technology, pre-existing frameworks, methodologies, and open-source components used to create the deliverables. The Client receives a perpetual, non-exclusive license to use these background elements as part of the final product.

5. PAYMENT TERMS

Payment schedules will be outlined in the project proposal. We reserve the right to halt services if payments are not made according to the agreed schedule.

6. LIMITATION OF LIABILITY

In no event will the Provider be liable for any indirect, consequential, or incidental damages arising out of the use or inability to use the services. Our total liability shall not exceed the total amount paid by the Client for the specific project giving rise to the claim.

7. GOVERNING LAW

These Terms shall be governed by and defined following the laws of Turkey. Deniz Berke Türkmen and yourself irrevocably consent that the courts of Turkey shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
